Bylaws of the Division of Planning and Women

Article I

Name

The name of this division shall be the Division of Planning and Women of the American Planning Association (APA).

Article II

Statement of Purpose

The purpose of the Division shall be to:

  1. Address issues facing the planning and development of communities, cities, regions, states, and the nation related to the changing roles of women and men;
  2. Create a national network of planners, decision makers and persons actively involved in organizations which are concerned about similar issues;
  3. Promote professional growth of persons interested in these issues and improve the level of competence in planning for women;
  4. Advance technical knowledge and improve techniques of dealing with these issues;
  5. Promote the analysis and examination of these issues at every level of government and in colleges and universities.

Article III

Members

Section 1. Membership in the Division shall be open to all individuals who are current members of the American Planning Association and who have an interest in the issues of planning and women.

Section 2. Individual and institutional subscribers may receive the Division’s services for a fee(s) which does not include voting privileges. Individual subscribers are persons who are not members of APA and who have an interest in the purposes of the Division. Institutional subscribers include institutions such as governmental agencies, private firms, schools, libraries, not-for-profit organizations and others with an interest in the purposes of the Division.

Section 3. The record of membership in the Division will begin when the Division dues have been paid in accordance with these bylaws.

Section 4. The services which the Division shall offer to its members may include, but shall not necessarily be limited to:

  1. Publishing a Division newsletter;
  2. Distributing annually a roster of members and a Division progress report;
  3. Providing a communications network for women and men planning;
  4. Maintaining liaison with other organizations and individuals that share common interests;
  5. Providing employment opportunities in the form of a Division membership roster;
  6. Providing research and related services to include grant sponsorship and solicitation and administration of grants – in behalf of the Division, its officers are authorized to apply for grants to sponsor workshops and research in furtherance of the Division’s purposes;
  7. Preparing research papers for publication in APA journals;
  8. Recommending statements of policy to the APA Board of Directors for their consideration and adoption;
  9. Holding seminars and other substantive sessions at APA national conferences, regional forums and other appropriate locations and times;
  10. Meeting annually with Division officers and members during the APA national conference.

Article IV

Officers

Section 1. The officers of the Division shall be a Director, and Assistant Director, a Secretary, a Treasurer, and six district coordinators, each of whom shall represent one of the six APA electoral districts.

Section 2. The duties of the officers shall be as follows:

  1. The Director shall be elected to the office and shall:
    1. Act as the presiding officer of the Division;
    2. Prepare an annual program and budget for submission to the APA’s Executive Director by December 1st and authorize specific expenditures in accordance with that budget;
    3. Prepare an annual report of the Division’s accomplishments of the preceding year and present recommendations on the program for the coming year; which report shall be submitted to the incoming Director, to the APA’s Executive Director and to the APA’s Board of Directors, by October 1st;
    4. Represent the Division at meetings of the Technical Divisions Council and of the APA Board of Directors;
    5. Call meetings of the Division;
    6. Appoint Division Task Force Coordinators, Chairpersons of Standing Committees and other persons after consulting with a majority of officers.
  2. The Assistant Director shall be elected to the office and shall:
    1. Assume, in the Director’s absence, all duties;
    2. Act at the direction of the Director; and
    3. Coordinate public relations and member recruitment, including the Division’s newsletter and the column in the APA News.
  3. The Secretary shall be elected to the office and shall:
    1. Act at the direction of the Director;
    2. Maintain an accurate list of Division members and individual and institutional subscribers and prepare the roster for employment services;
    3. Cause members to be notified of Division meetings;
    4. Prepare concise minutes of Division meetings;
    5. Submit the Division’s dues rate to the APA national office by December 1st, or any other date stipulated by that office;
    6. Cause proposed bylaws amendments to be submitted to the membership within the period of time prescribed by these bylaws; and
    7. Be responsible for tabulating the votes of Division members in all elections except those for Division officers.
  1. The Treasurer shall be elected to office and shall:
    1. Be responsible for drafting the Division’s budget; and
    2. Maintain the Division’s accounts.
  1. The six District Coordinators shall be elected to office and shall:
    1. Establish and maintain communication about the Division with APA chapters and with interested persons and institutions within the district; and
    2. Coordinate the development and implementation on the district level of issues and activities related to the division’s purposes.

Article V

Nomination and Election of Officers

Section 1. All officers shall serve for two-year terms or until their successors are elected and their term of office shall begin at the start of the annual meeting at which their election was certified. The first series of officers shall serve from October 1979, until April 1981, however.

Section 2. The Director shall appoint a Nominating Committee composed of at least three Division members by December 1st. The Nominating Committee shall submit to the Division’s Executive Committee by January 1st a slate of at least two candidates for each office to be voted on that year. The Executive Committee shall approve the slate and send it to the APA Executive Director by January 15th. Additionally, a candidate may be nominated for an office upon the presentation to the Nominating Committee of a petition signed by ten members of the Division.

Section 3. Mail ballots listing the nominees for each office and clearly stating the permissibility of write-in candidates shall be mailed to the Division’s membership of record before February 15th. Completed ballots must be received at the specified APA office location postmarked no later than March 15th.

Section 4. Officers shall be elected by receiving a plurality of votes cast. The results of the voting shall be certified by a Teller Committee appointed by the APA Executive Director.

Section 5. A vacancy in office shall be filled by the remaining officers appointing a qualified person to serve out the remaining portion of the unexpired term.

Article VI

Chapter Coordinator

Section 1. A Chapter Coordinator shall be chosen by each APA Chapter. The method of selection to be either election or appointment by the APA Chapter, as specified by the Chapter Presidents Council or, absent such guidance, by the Chapter itself.

Section 2. The Chapter Coordinator shall facilitate the communication of the Division’s purposes to the Chapter and to interested persons and institutions and shall coordinate efforts with the District Coordinator and with the national level.

Article VII

Committees

Section 1. There shall be an Executive Committee consisting of the Division’s officers whose purpose shall be to advise and assist in the preparation of an annual budget and work program for the Division, in the preparation of a nominating slate for Division offices, and in other duties as necessary.

Section 2. The Division shall have the following Standing Committees:


a.       Nominating

b.      Teller

c.       Research

d.      Legislation

e.       Education

f.        Outreach

g.        Policy

h.        Affirmative Action


Additional permanent or special committees may be established when, in the opinion of the majority of the Executive Committee, the purposes of the Division will be furthered or membership services improved. Such committees will be appointed by the Director.

The chairpersons of both the standing and additional committees shall be designated by the Director.

Upon the creation or re-activization of a committee the Director shall specify its charge, budget, reporting time and, in the case of a special committee, its date of termination.

Article VIII

Relationship to the APA National Office

The Division’s Director shall make arrangements with the Executive Director of the APA for national office staff services which are funded with Division resources. Assistance for the Division may be provided by the APA staff or, independently, on a contractual basis, subject to the approval of the APA’s Executive Director.

Article IX

Dues/Fees

Section 1. The Division’s Executive Committee, subject to the approval of the APA Board of Directors, shall determine the membership dues which shall be collected annually by APA for the Division.

Section 2. Under the following circumstances, the Division may accept non-dues receipts. Subject to approval by the Division’s Executive Committee and the APA Executive Director, the Division may accept contributions, donations, and grants from members, non-members, subscribers, the APA Board of Directors, the American Institute of Certified Planners’ Commission, and other firms and agencies. In addition, the Executive Committee may establish prices and/or subscription fees for publications and services to be offered to non-members or as special services to members.

Article X

Amendment of Bylaws

Section 1. Changes in these bylaws may be proposed by a majority vote of the Executive Committee or by a petition signed by ten members of the Division.

Section 2. The Secretary shall submit the proposed amendment to the membership in writing at least thirty (30) days prior to the voting or the return date of postmark for a mail  ballot. Amendments will be adopted if they are supported by a majority of the votes cast.
